Welcome to SaltBay Tech. These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services, including web design, web development, software development, mobile application development, consulting, maintenance, hosting, and other related services (collectively, the “Services”).
By accessing our website, submitting an inquiry, requesting Services, signing a proposal or agreement, or otherwise engaging with SaltBay Tech, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or Services.
1. Services
SaltBay Tech provides professional digital services that may include, but are not limited to:
- Website design and development
- Custom software development
- Mobile application development
- Website maintenance and support
- Performance optimization
- Search engine optimization and related consulting
- Website and application security services
- Hosting and infrastructure management
- Integrations with third-party services
- Technical consulting and other digital solutions
The specific scope, deliverables, timeline, pricing, and requirements for a project will be outlined in a separate proposal, statement of work, service agreement, invoice, or other written agreement.
If there is a conflict between these Terms and a separately executed agreement between you and SaltBay Tech, the terms of the separate agreement will control with respect to that specific project.
2. Project Proposals and Scope of Work
Before beginning a project, SaltBay Tech may provide a proposal or statement of work outlining the expected services, deliverables, estimated timeline, pricing, and other project requirements.
Any work requested outside the originally agreed scope may be considered additional work and may result in additional fees and changes to the project timeline.
We reserve the right to require written approval before beginning work that falls outside the agreed scope.
3. Client Responsibilities
To successfully complete a project, you agree to provide accurate, complete, and timely information, content, feedback, approvals, access credentials, and other materials reasonably necessary for us to perform the Services.
You are responsible for:
- Providing content, images, branding materials, and other required assets unless otherwise agreed
- Ensuring that you have the necessary rights, licenses, and permissions to use any materials provided to us
- Reviewing and approving project deliverables in a timely manner
- Providing access to relevant systems, accounts, domains, hosting environments, APIs, or third-party services when required
- Maintaining appropriate backups of your own content and data unless backup services are specifically included in your agreement
Delays caused by a failure to provide required materials, feedback, approvals, or access may result in adjustments to the project timeline.
4. Fees and Payment
Fees for our Services will be communicated through a proposal, quote, service agreement, invoice, or other written communication.
Unless otherwise agreed in writing:
- A deposit or initial payment may be required before work begins.
- Remaining payments are due according to the agreed payment schedule.
- Final deliverables may be withheld until all outstanding balances have been paid in full.
- Ongoing services, including maintenance, hosting, support, or subscriptions, may be billed on a recurring basis.
- You are responsible for providing accurate billing and payment information.
Invoices not paid by their due date may be subject to late fees, interest, suspension of Services, or other reasonable collection efforts, where permitted by applicable law.
5. Late Payments and Suspension of Services
If payment is not received by the applicable due date, SaltBay Tech reserves the right to suspend, restrict, or discontinue Services until all outstanding balances are paid.
For recurring services, including hosting, maintenance, support, or other subscription-based services, failure to make payment may result in the suspension or removal of access to the applicable service or website.
Where reasonably possible, we may provide notice before suspending or terminating Services. However, we are not responsible for any loss, damage, downtime, lost revenue, search engine ranking changes, or other consequences resulting from the suspension of Services due to nonpayment.
6. Revisions and Changes
Unless otherwise specified in a written agreement, project pricing may include a limited number of revisions.
A revision generally refers to reasonable modifications to an existing deliverable that are consistent with the originally agreed scope. Significant changes, new features, redesigns, additional pages, or changes to previously approved work may be considered additional work and billed separately.
We will communicate any additional costs before beginning substantial work outside the original project scope.
7. Project Delays and Client Inactivity
Project timelines are estimates unless specifically stated otherwise in writing.
If a project is delayed because required materials, feedback, approvals, or access are not provided in a timely manner, SaltBay Tech may adjust the project timeline accordingly.
If a project becomes inactive for an extended period of time, we reserve the right to:
- Pause work on the project
- Reassign project resources
- Adjust the delivery timeline
- Require additional fees to resume work
- Close or terminate the project after providing reasonable notice
Any prepaid fees may be subject to the terms of the applicable project agreement.
8. Intellectual Property
Unless otherwise specified in a separate written agreement, ownership of final project deliverables will transfer to the client only after all amounts owed to SaltBay Tech have been paid in full.
Until full payment has been received, SaltBay Tech retains ownership of all work product, including designs, source code, documentation, and other project materials.
Upon full payment, the client will receive the rights specifically identified in the applicable project agreement.
Notwithstanding the transfer of ownership of final deliverables, SaltBay Tech retains ownership of:
- Pre-existing materials and intellectual property
- Internal tools, frameworks, libraries, templates, and methodologies
- Reusable code and development components
- General knowledge, techniques, processes, and skills
- Open-source or third-party components, which remain subject to their respective licenses
We may reuse general knowledge, non-confidential techniques, and reusable components developed during the course of providing Services, provided doing so does not disclose the client’s confidential information or proprietary materials.
9. Third-Party Services and Software
Projects may involve third-party services, software, plugins, APIs, hosting providers, payment processors, analytics platforms, or other external providers.
You understand and agree that:
- Third-party services may have their own terms, conditions, and privacy policies.

- SaltBay Tech does not control third-party services and cannot guarantee their continued availability, functionality, security, or compatibility.
- Changes made by third-party providers may affect the functionality of a website, application, or other deliverable.
We are not responsible for outages, security incidents, pricing changes, policy changes, discontinued products, or other actions or failures of third-party providers.
10. Hosting, Maintenance, and Support
Hosting, maintenance, monitoring, backups, updates, and technical support are provided only when specifically included in a service plan or separate agreement.
Unless expressly stated otherwise, website development or software development fees do not automatically include ongoing maintenance, hosting, updates, security monitoring, or support.
You are responsible for maintaining active hosting, domain registration, third-party licenses, and other required services unless these responsibilities are specifically assumed by SaltBay Tech under a separate agreement.

While we may implement reasonable security practices and technical safeguards, no website, application, server, or digital system can be guaranteed to be completely secure.
SaltBay Tech does not guarantee that any website, application, software product, or system will be free from vulnerabilities, unauthorized access, malware, service interruptions, or other security incidents.

By providing materials to SaltBay Tech, you represent and warrant that you have the legal right to use, reproduce, modify, and distribute those materials as necessary for the completion of the project.

This may include the client’s name, logo, website, general project description, and screenshots or examples of the completed work.
If you do not wish for your project to be included in our portfolio or promotional materials, you may request this in writing before or during the project.
16. Cancellation and Termination
Either party may terminate an ongoing project or service relationship in accordance with the terms of any applicable written agreement.
If a project is canceled after work has begun:
- You may remain responsible for payment for Services already performed.
- Deposits or other prepaid amounts may be non-refundable, depending on the nature of the work and the applicable agreement.
- Additional costs incurred specifically for your project may remain payable.
- Any rights to unfinished work may remain with SaltBay Tech unless otherwise agreed in writing.
We reserve the right to suspend or terminate Services if you fail to make required payments, violate these Terms, engage in abusive or unlawful conduct, or otherwise make it unreasonable or impractical for us to continue providing Services.
